Terms and Conditions of Sale and Use of ClickReport Products         

       1.Acceptance of Terms

By accessing and using the website located at www.schoolpsychclickreport.com (the “Website”) and the services provided by ClickReport LLC, a NC Limited Liability Company  (“ClickReport LLC,” “we,” “us,” or “our”), including, but not limited to, psychology organization tools, recommendations bank, and future send tools (collectively, the “Services”), you, as a user of the Services (“you” or “User”), agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Services.

         2.Eligibility and Use

The Services are intended for use by or under the supervision of a licensed psychologist, diagnostician, or comparable mental health service provider. ClickReport LLC is not a psychology firm, does not provide psychological advice, and does not engage in the practice of psychology. Users are responsible for reviewing and editing any work generated by the Services before submission. Users agree to use the Services for lawful, non-malicious purposes and in compliance with all applicable laws and regulations. Users are prohibited from using the Services for any illegal, harmful, or inappropriate activities. Users should consult a licensed attorney in their jurisdiction for legal advice tailored to their specific situation. By using ClickReport LLC Services, you acknowledge and agree that:

  • ClickReport LLC is not acting as your psychological counsel, and no psychologist-client relationship is created through your use of the Services.
  • The Services may provide general information about psychological and mental health matters, but this information should not be considered a substitute for professional psychology advice.
  • The Services may use statistical analysis to indicate the commonality of certain contract terms; however, this does not imply that such terms are necessarily appropriate or inappropriate for your situation.
  • Psychological interpretations may vary between licensed individuals and personal clinical judgement is required.

    3. Subscription Plans and Cancellation

ClickReport LLC offers subscription plans for consumers and enterprises, as detailed on the Membership page of our Website. ClickReport LLC reserves the right to update and alter its subscription plans and pricing and will communicate those changes when made. You can cancel your plan at any time and will not receive any further charges, although we do not offer a refund for amounts already paid. An exception is that enterprise users can cancel in the first 30 days and receive a full refund, and users in a free trial do not incur any charges.

          4.Data Privacy and Confidentiality

ClickReport LLC respects User privacy and is committed to protecting User data. Please refer to our Data Privacy Policy for detailed information on how we handle User data, privacy, and confidentiality.

          5.Intellectual Property Rights

The content on ClickReport LLC’s website and within the Services, including but not limited to text, documents, software, graphics, photos, and logos, is the property of ClickReport LLC or its licensors and is protected by applicable intellectual property laws. The content is intended for your information and personal use only. You may not use, copy, distribute, display, sell, license, or otherwise exploit the content without the written permission of ClickReport LLC. Users retain all rights and ownership in the content they create using the Services. ClickReport LLC does not claim any ownership rights or licenses to User-generated content.

In no event shall ClickReport LLC be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, or any other damages of any kind, arising out of or in connection with the Services, including, but not limited to, any errors, inaccuracies, or omissions in the information provided, even if ClickReport LLC has been advised of the possibility of such damages.

        8.Indemnification

You agree to indemnify, defend, and hold harmless ClickReport LLC, its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, losses, liabilities, expenses, damages, and costs, including reasonable attorneys’ fees, arising out of or in connection with your use of the Services, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

       9. Modifications to Terms and Services

ClickReport LLC reserves the right, at its sole discretion, to modify, suspend, or discontinue the Services or any part thereof, or to modify these Terms, at any time and without prior notice. We will notify Users of any material changes to these Terms and will post the updated Terms on our Website. Your continued access to or use of the Services after such modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must cease your access and use of the Services.

     10. Governing Law and Dispute Resolution

These Terms and any disputes arising from or relating to your use of the Services shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law principles. Any claim, controversy, or dispute arising out of or related to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitration shall take place in North Carolina, and both parties consent to the exclusive jurisdiction of the state and federal courts located in North Carolina for any actions not subject to arbitration.

    11. Severability and Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The waiver by ClickReport LLC of any breach or default of these Terms shall not be construed as a waiver of any other breach or default.

    12. Force Majeure

ClickReport LLC shall not be liable for any delay or failure to perform its obligations under these Terms due to circumstances beyond its reasonable control, including, without limitation, acts of God, acts of government, flood, fire, earthquakes, civil unrest, acts of terror, strikes or other labor problems, computer, telecommunications, internet service provider or hosting facility failures or delays involving hardware, software or power systems, denial of service attacks, incompatibility of systems, or any other similar events.

    13. Entire Agreement

These Terms, together with any other legal notices or agreements referenced herein or posted on the Website, constitute the entire agreement between you and ClickReport LLC concerning your use of the Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and ClickReport LLC with respect to the Services.

By using ClickReport LLC Services, you acknowledge and agree that no psychologist-client relationship is created through your use of the Services.

     16. Payment for Services

Certain features of the Services may only be available on a paid basis. By using paid features, you agree to pay the associated fees, including any applicable taxes and charges. You authorize ClickReport LLC to charge your designated payment method for the fees incurred. Refunds are generally not provided, except at ClickReport LLC’s discretion in cases where technical issues render the Services completely unusable due to ClickReport LLC’s fault. To request a refund in such cases, please contact our support team.

    17. Prohibited Activities

By using the Services, you agree not to:

  • Copy, distribute, or modify the Services or any part thereof without written permission from ClickReport LLC.
  • Use the Services to send spam, viruses, or other harmful code.
  • Interfere with any servers or networks connected to the Services.
  • Use automated means, such as bots or spiders, to access the Services.

      20. Termination

Both parties may terminate this agreement at any time by providing written notice to the other party. Users may terminate their account by following the account cancellation procedures provided on the Website. ClickReport LLC may terminate a user’s access to the Services if the user breaches any provision of these Terms, fails to pay any applicable fees, or engages in any conduct that ClickReport LLC, in its sole discretion, deems harmful to its interests or other users. Upon termination, all rights, licenses, and access to the Services granted to the user shall cease immediately, and the user must discontinue all use of the Services.

       21. Notice

All notices, requests, demands, and other communications between the parties shall be in writing and shall be deemed to have been duly given if delivered personally, by email, or via a notice posted on the Website. ClickReport LLC may provide notices to users at the email address associated with their account or through notifications within the Services.

       22. Assignment

Users may not assign or transfer their rights or obligations under these Terms without ClickReport LLC’s prior written consent. Any attempt by a user to assign or transfer their rights or obligations without such consent will be null and void. ClickReport LLC may assign or transfer its rights and obligations under these Terms, in whole or in part, without restriction and without the need for user consent.

       23. Suspension of Services

ClickReport LLC reserves the right to temporarily suspend a user’s access to the Services at its sole discretion under certain circumstances, including but not limited to:

  • Non-payment of fees: If a user fails to make timely payments for any applicable fees, ClickReport LLC may suspend access to the Services until the outstanding balance is settled.
  • Violation of Terms: If a user breaches any provision of these Terms or engages in any conduct that ClickReport LLC, in its sole discretion, deems harmful to its interests or other users.
  • Security or technical concerns: If ClickReport LLC reasonably believes that a user’s actions pose a security risk to the Services, other users, or ClickReport LLC’s systems, or if the user is causing or is likely to cause technical issues that may disrupt the proper functioning of the Services.

ClickReport LLC will make reasonable efforts to provide the affected user with notice of the suspension, an explanation of the reason for the suspension, and an opportunity to resolve the issue, when applicable. Once the issue is resolved to ClickReport LLC’s satisfaction, access to the Services may be reinstated. ClickReport LLC shall not be liable for any damages, losses, or inconvenience caused by the suspension of a user’s access to the Services.
